    6. Severability. The provisions of this Agreement shall be severable.  If any portion of this Agreement is held to be unlawful or unenforceable, that portion shall not affect any other portion of this Agreement, and the remaining terms and conditions or portions will remain in effect.
    7. Waiver of Breach. Waiver of a breach of any provision of this Agreement shall not be deemed a waiver of any other breach of the same or a different provision.

In construing this Agreement, no provision will be construed in favor of one Party on the ground that such provision was drafted by the other Party. If any claim is made by a Party relating to any conflict, omission, or ambiguity in the provisions of this Agreement, no presumption, burden of proof, or persuasion will be implied because this Agreement was prepared by or at the request of either Party or its counsel.
    11. Headings. The section and other headings contained in the Agreement are for reference purposes only and shall not in any way affect the meaning or interpretation of this Agreement.
    12. Execution of this Agreement in Counterparts. This Agreement may be executed electronically in two or more counterparts, each of which shall be deemed an original, but which together shall constitute one and the same instrument.
